End-User License Agreement (EULA)
Who We Are
1. Welcome to Med Equity (the “Website”, “we”, “our”, “us”, or “the Company”). By accessing or using the Website, you agree to be bound by the terms and conditions set out in this End User License Agreement (“the Agreement” or “this EULA”). Your agreement to these terms must be complete and without reservation. If you do not agree to the terms set out here, you must not use the Website.
2. Med Equity operates as a listing platform for UK-based companies in the medical sector. Our Platform is open exclusively to Sophisticated Investors as defined under the laws of the United Kingdom.
Investor Eligibility
3. By registering as an investor on the Website, you confirm that you are:
a. A resident of the United Kingdom, or otherwise legally entitled to invest in UK-based companies;
b. A self-certified or certified Sophisticated Investor or High Net Worth Individual under the Financial Services and Markets Act 2000 (Financial promotion) Order 2005;
c. Fully aware of the requirements to be deemed a Sophisticated Investor under UK law;
d. Not, by accessing our services, breaching the laws of any jurisdiction to which you are subject, engaging in any unlawful or disreputable acts, or inciting by agreement, coercion, or deceit any other person to do so.
4. If at any time you cease to meet the eligibility criteria as outlined in Section 3, you must immediately terminate your account on the Website.
Investment Disclaimer
5. By accessing the Website, you acknowledge and understand that:
a. Med Equity does not provide financial advice, arrange investments, operate as a regulated financial intermediary, or participate in any part of your investment process;
b. Med Equity does not offer or solicit the purchase or sale of securities;
c. Med Equity does not verify the validity of statements made by companies listed on the Website beyond minimal checks;
d. Med Equity does not recommend or endorse any investment activity.
e. Med Equity does not provide any warranty, assurance or special protection to parties entering into commercial agreement through the Website.
6. You agree not to represent Med Equity as offering any of the services described in Section 5 of this EULA.
7. You understand that it is strongly recommended that all individuals considering investment or investing seek independent legal and financial advice before proceeding.
8. You accept that all investments carry inherent risk and that, should you invest after using the Website, Med Equity shall have no responsibility or liability regarding that investment.
9. You understand that Med Equity is not a broker and does not conduct due diligence on listed companies.
Company Eligibility
10. By registering on the Website as a company, you certify that you:
a. Are registered and operating within the United Kingdom;
b. Are engaged in, or closely related to, one of the eight identified medical and healthcare related industries Med Equity caters to, including:
i. Healthcare Services;
ii. Pharmaceuticals;
iii. Lifestyle Services;
iv. Lab Technical Services;
v. Distribution of Medical Devices;
vi. Manufacturing Medical Accessories;
vii. Employment Based Services;
viii. Human & Animal related categories.
c. Are willing and able to provide accurate, honest, and up-to-date information about your business and investment proposition.
11. A small administrative fee will be charged to companies during the registration process. You agree that this fee does not constitute approval, verification, or endorsement of your company, its viability, or profitability.
Company Disclaimer
12. The Website makes no guarantee of investment or of directing specific investors to your business.
13. Payment of the administrative fee entitles your company to be listed on the Website, making your provided information accessible to registered investors.
14. The Website will make reasonable efforts to ensure all registered investors qualify as Sophisticated Investors under UK law but makes no warranties as to the accuracy or validity of those claims. It is the company’s responsibility to exercise due diligence during any negotiations.
Intellectual Property
15. All content on the Website-including text, design, graphics, logos, and software-is the property of Med Equity or its licensors and is protected under UK intellectual property law.
16. You are granted a non-exclusive, non-transferable, revocable license to access and use the Website in accordance with this EULA.
17. You must not reproduce, distribute, or exploit any part of the Website or its content without express written consent.
User Conduct Agreement
18. By using the Website, you agree to:
a. Not misrepresent your investor or company status;
b. Not attempt to access restricted areas or data not intended for you;
c. Not use the Website to solicit unauthorised services;
d. Not upload or distribute malicious software;
e. Not breach any applicable laws or regulations;
f. Conduct yourself in good faith when engaging with any other user of the Website.
19. We reserve the right to suspend or terminate any account that violates this Agreement, misuses the Website, or acts in a manner that harms Med Equity or its users.
Our Liability
20. The Website is provided “as is” without any warranties, express or implied.
21. Med Equity is not liable for any loss or damage, including indirect, incidental, or consequential losses, arising out of or in connection with:
a. Your reliance on the Website;
b. Your use of the Website;
c. Your investment in a company listed on the Website;
d. Your receipt of investment from an investor registered on the Website;
e. Losses incurred from any investment which relates in anyway to the Website;
f. Any conduct related to your use of the Website.
22. You agree to indemnify, defend, and hold harmless Med Equity and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from:
a. Your misuse of the Website;
b. Your breach of this Agreement;
c. Misrepresentation of your investor status;
d. Misrepresentation of your company’s status or as your status as a representative of a company.
e. Misrepresentation of any variety which induces another to invest or accept investment;
f. Any loss suffered by you not solely caused by Med Equity’s direct actions.
Modifications to this Agreement
23. Med Equity reserves the right to modify this Agreement at any time, without prior notice. Users will be notified by email of any changes, provided they have not opted out of such communications.
24. Continued use of the Website after any changes are made to this Agreement constitutes your acceptance of the updated terms.
Termination
25. Med Equity reserves the right to suspend or terminate your access to the Website at any time, without notice, if you breach this Agreement or if we have reason to believe you no longer meet the eligibility criteria.
Governing Law
26. This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the English Courts.
